LJDNPodcast Radio – Podcast Hosting & Subscription Agreement
Effective upon date of form submission
This Podcast Hosting & Subscription Agreement (“Agreement”) is made between:
VBL Productions LLC d/b/a LJDNR‑Opulence, operating
LJDNPodcast Radio, LJDNetwork,
DiamondPulseMedia, and LJND‑O, located at:
1425 Battlefield Blvd. N, Chesapeake, Virginia 23320
(“Company”)
and
Subscriber Name: (Name submitted on online form)

(“Subscriber”)
1. Purpose of Agreement
The Subscriber wishes to purchase monthly podcast hosting services from LJDNPodcast Radio at the subscription price selected on the online form. By submitting the form, the Subscriber acknowledges and agrees to all terms contained herein.
2. Subscriber Acknowledgements
The Subscriber acknowledges and agrees that:

Podcast Audience Disclaimer
LJDNPodcast Radio does not guarantee audience size, listener engagement, shares, likes, or support. -
Company Financial Disclaimer
The Company may operate at a loss or profit at any time. -
Financial Responsibility
The Subscriber has the financial means to meet all obligations under this Agreement. -
Understanding of Terms
The Subscriber has read and understands this Agreement. -
Opportunity to Review
The Subscriber has had the opportunity to review all documents related to podcast hosting services. -
Age Requirement
Subscriber must be 18 years or older. If under 18, written permission from a parent or legal guardian is required. -
Commercial Advertisements
LJDNPodcast Radio may place commercial advertisements before or after the Subscriber’s podcast. The Subscriber will not receive compensation unless otherwise stated in writing by the Company CEO. -
Experience
The Subscriber has basic knowledge or experience in audio, podcasting, speaking, or radio‑related activities. -
Communication
All questions may be directed to the Company via email at info@ljdnpodcast.com. -
Purpose of Subscription
The Subscriber is purchasing hosting services for entertainment and broadcast purposes only.
3. Commercial Placement & Residual Payments
If the Subscriber chooses to place a commercial advertisement inside their own podcast episode, the following applies:
- The Subscriber will receive 25% residual compensation from that advertiser.
- This applies whether the advertiser pays one time or monthly.
- All advertiser agreements must be documented in writing.
4. Broadcast Rights & Post‑Termination Usage
The Subscriber grants LJDNPodcast Radio, LJDNetwork, DiamondPulseMedia, and LJND‑O the following rights:
4.1 Ongoing Usage After Termination
Even after the Subscriber and Company are no longer doing business together, the Company may continue to:
- Re‑broadcast previously submitted podcast episodes
- Use episodes for promotional purposes
- Use episodes to fill airtime gaps
- Include episodes in rotation scheduling
- Feature episodes on any Company‑owned platform
This license is non‑exclusive, royalty‑free, and perpetual for any content previously aired.
4.2 Scheduling & Rotation
From time to time, LJDNPodcast Radio may use the Subscriber’s podcast to fill programming gaps. This service is free and does not increase the Subscriber’s monthly fee. If the Subscriber wishes to opt out, they must notify the Company in writing.
5. Termination & Revocation
- The Company may cancel or revoke this Agreement within 30 days for any reason deemed unfitting to the LJDNPodcast Radio culture.
- The Subscriber may terminate their subscription with 30 days written notice.
- No refunds are issued for partial months.
6. Indemnification
The Subscriber agrees to indemnify and hold harmless:
- LJDNPodcast Radio
- LJDNetwork
- DiamondPulseMedia
- LJND‑O
- VBL Productions LLC
- All officers, directors, employees, agents, and affiliates
from any losses, liabilities, claims, or expenses arising from:
- Misrepresentation by the Subscriber
- Violations of this Agreement
- Legal disputes initiated by the Subscriber in which the Company prevails
- Improper use of copyrighted or licensed materials submitted by the Subscriber
7. Content Compliance
The Subscriber agrees:
- Not to submit content containing hate speech, harassment, explicit illegal activity, or FCC‑violating material.
- To ensure they have rights to all music, audio clips, and materials used in their podcast.
- That LJDNPodcast Radio may refuse or remove content that violates Company standards.
8. Governing Law
This Agreement is governed by the laws of the State of Virginia and applicable U.S. federal laws.
9. Entire Agreement
This Agreement constitutes the entire understanding between the Company and Subscriber and supersedes all prior agreements, written or oral.

11. Acceptance
By submitting the online form, the Subscriber agrees to all terms contained in this Agreement.

- Hate speech, harassment, discrimination, or explicit harmful behavior
- Sexually explicit or pornographic material
- Illegal activity or content encouraging illegal acts
- Copyright violations or unlicensed music/audio
- Low‑quality audio or content not meeting broadcast standards
- Material that may harm our reputation, partners, or affiliates
The Company’s decision is final and may be made at any time, with or without explanation.
3. Intellectual Property
All website content, branding, logos, graphics, and media are the property of VBL Productions LLC unless otherwise stated. You may not copy, reproduce, or distribute any content without written permission.
4. User Responsibilities

Non‑Payment & Collections Policy
Effective Date: Upon subscription or service purchase
This Non‑Payment & Collections Policy (“Policy”) applies to all clients, subscribers, and users of VBL Productions LLC d/b/a LJDNR‑Opulence, including:
- LJDNPodcast Radio
- LJDNetwork
- DiamondPulseMedia
- LJND‑O
By purchasing any service, subscription, or hosting plan, you agree to the payment terms outlined in this Policy.
1. Payment Obligations
All fees for podcast hosting, advertising, media services, subscriptions, or promotional packages must be paid on or before the due date stated at checkout or in your service agreement.
Failure to pay on time constitutes a breach of agreement.
2. Late Payments
If payment is not received by the due date:
- A late fee of $15 may be applied to the outstanding balance.
- Services may be paused or suspended until payment is made.
- Episodes, commercials, or media may be removed from rotation.
3. Service Suspension
If payment is more than 10 days late, the Company reserves the right to:
- Pause podcast hosting
- Remove scheduled episodes from broadcast
- Disable access to subscriber features
- Stop all promotional or media services
4. Account Termination
If payment is more than 30 days late, the Company may terminate the subscription or service agreement entirely. Termination does not cancel the outstanding balance owed.
5. Collections & Legal Action
If an account remains unpaid after reasonable attempts to collect, the Company may take the following actions:
- Send the account to a third‑party collections agency
- Report the unpaid balance to credit‑reporting entities (if applicable)
- Initiate legal action in the State of Virginia
The client will be responsible for:
- All unpaid service fees
- Late fees
- Collection costs
- Attorney fees
- Court filing fees
Legal action may include small‑claims court or civil court depending on the amount owed.
6. Returned or Failed Payments
If a payment fails, is declined, or is returned:
- A $35 returned payment fee may be applied.
- Services may be suspended immediately.
7. No Refunds for Partial Months
If services are suspended or terminated due to non‑payment, no refunds will be issued for partial months or unused services.
8. Agreement to These Terms
By purchasing any service or subscription, the client acknowledges and agrees to this Non‑Payment & Collections Policy. This Policy is legally binding and enforceable under the laws of the State of Virginia.
